Terms of Service

1. Acceptance of Terms & Associated Agreements

By accessing or connecting your Xero account to the Bulk Contact Manager application (the "Service"), provided by Jolo Vita (KvK 87189437, registered in the Netherlands) ("we", "us", or "our"), you agree to be bound by these Terms of Service.

By agreeing to these Terms, you also acknowledge and agree to our Privacy Policy and our Data Processing Agreement (DPA), which governs how we process your Xero data on your behalf.

2. Beta / Early Access Release

The Service is currently offered as an Early Access/Beta release. You acknowledge that the Service may still contain bugs or errors. During this Beta period, the Service is provided free of charge. We reserve the right to transition to a paid subscription model in the future, at which point you will be notified and given the option to subscribe or terminate your use of the Service.

3. Account Security and Authorization

By connecting a Xero organization to the Service, you warrant that you are an authorized administrator or representative of that organization with the legal right to view, modify, and delete its data. You agree not to abuse the Service through automated scraping, malicious payloads, or excessively high-volume requests that degrade the infrastructure.

4. Execution Only & No Legal Advice

The Service is provided strictly as a technical utility to assist with bulk data management and data anonymization within your connected Xero account. We do not offer legal, tax, or compliance advice. You are solely responsible for ensuring that any data deleted, modified, or anonymized using this Service complies with your local statutory retention laws, tax regulations, and privacy frameworks (including but not limited to the GDPR, CCPA, and APP).

5. Data Modification & Irreversibility

You acknowledge that utilizing the "Anonymize" or "Archive" features will permanently modify or overwrite contact data within your Xero account. We cannot restore or recover data that has been intentionally overwritten or anonymized by you. You are strongly encouraged to maintain independent backups of your Xero data prior to performing bulk actions.

6. "As-Is" Warranty

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the accuracy, reliability, or availability of the Service. We do not guarantee uninterrupted connectivity with the Xero API or that the Service will be completely error-free.

7. Limitation of Liability

To the maximum extent permitted by applicable Dutch law, in no event shall Jolo Vita be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data loss, business interruption, or fines/penalties imposed by tax authorities or data protection regulators resulting from your use of the Service.

In no event shall our total aggregate liability to you for all damages exceed the amount you have actually paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. (Note: During the free Beta period, this limits maximum liability to €0).

8. Termination

You may terminate this agreement at any time by disconnecting the Service from your Xero dashboard. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we determine that you have violated these Terms or pose a security risk to our infrastructure.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes arising out of or related to these Terms or the Service shall be brought exclusively before the competent court of the District of Central Netherlands (Rechtbank Midden-Nederland).
